GMPay Terms of Use

The current Terms define universal business conditions and set standard rights and liabilities for the participants of the GMPay Service.

The Provider and the Company are the Parties of the Terms. Any sole proprietor or any legal entity may become the Company if it claims to join the Terms and should it accept the Terms altogether.

Each Party guarantees the other one to possess all the legal capacities as well as rights and full powers necessary and sufficient for joining the Terms and discharging the liabilities due to the Terms.

The affiliation agreement to the GMPay Service is considered complete and comes to force since the Company starts actings as given in the Terms hereinafter. It includes creating an account at GMPay and the Company agreement with the Privacy Policy. It means unconditional agreement with the current Terms on the unrestricted basis.

1. Terms and Definitions

Bank (Bank-partner) is an accredited institution providing for banking and clearing transactions in accordance with the current legislation, including funds transfer for private persons under the internet-acquiring contract.

Bank-partners are accredited banking institutions working in the operating country for the GMPay Service.

Information services are the services for creating and issuing invoices, storing the invoice data and informing the Customers about the invoices which were issued by the Company via the GMPay Service.

Communications services are the services to provide information and technological interaction between the participants of payments. Thus the Customer can pay the invoice via the GMPay Service.

Company is a legal entity or a sole proprietor undertaking the current Terms and activating its account at the GMPay Service.

Account is a private directory of the Company at the GMPay Service site, which can be accessed via a secure connection and is provided to the Company when registered at the GMPay Service.

Provider is GMPay Ltd. It manages the GMPay Service to provide the Customers with invoices from the Company (via SMS messages).

Customer is a private person who pays the invoices issued via the GMPay Service and delivered via SMS messages.

Payment is the Customer’s action issuing an order to the Bank (via the GMPay Service) to transfer the money of the Customer to the banking account of the Company in order to pay the invoice.

Payment card is a tool for non-cash transactions. It is meant for the Customer to carry out money transactions due to the legislation and in accordance with international payment systems.

GMPay service is the Provider’s software which transmits information on issued invoices and payments carried out by the Customer.

Invoice is a claim of the Company to the Customer to pay for the goods or services.

Tariff Plan means the Contract Terms which define the price for the Provider’s services on submitting Invoice packages to Companies.

API (Application Programming Interface) is the programme interface of the GMPay Service which is used to integrate the Service with other programme products of the Company.

2. Basic Terms and Cooperation of the Parties

2.1. The current Terms regulate how the Provider renders information and communications services to Companies via the GMPay Service.

2.2. Under the current Terms the Provider renders the following information and communications services to Companies:

2.2.1. the Company can create and issue Invoices to Customers (via the Service web-interface/using API);

2.2.2. it delivers Invoice notifications to mobile gadgets of Customers via communications channels (SMS messages);

2.2.3. via a secure payment gateway of the Bank, Customers can preview and pay the Invoices issued by the Company;

2.2.4. it creates and transmits Customers’ orders for non-cash transactions to the Bank via a secure payment gateway of the Bank;

2.2.5. it informs the Company on actual payments made by Customers as well as payment backouts and chargebacks;

2.2.6. it provides the Company with reports on issued and paid Invoices (via the personal account at the GMPay Service).

2.3. Having said that, the Company undertakes to sign an internet-acquiring contract with the Bank-partner to carry out e-payments via payment cards as well as to accept and pay for the services provided (according to article 2.2.).

3. Rights and Liabilities of the Provider

3.1. The Provider undertakes the following liabilities:

3.1.1. Using the GMPay Service it will provide the Company with a function to create and issue invoices to Customers to pay for goods or services, following the rules for Companies in Appendix 1 of the current Terms.

3.1.2. Under the instruction of the Company it will notify Customers on issued Invoices.

3.1.3. Using the GMPay Service it will make it possible for Customers to preview the issued invoices and initiate payment transactions via a secure payment gateway of the Bank using Payment Cards which the Customer owns.

3.1.4. In accordance with article 3.1.3. it provides each Payment with the Customer order for the Bank to transmit money to the Company paying for its goods or services.

3.1.5. It will transfer to the Bank all the data necessary to carry out Payments to the Company.

3.1.6. It will inform the Company on issued invoice notifications for Customers, payments, backouts and chargebacks of payments.

3.1.7. It will use the data received from the Company only to discharge the current Terms.

3.1.8. It will never store non-ciphered or undisguised any bank details and data on Customers or transfer them to third parties (except for the Bank) completely or partially, should such data come to notice of the Provider as a result of discharging the current Terms.

3.2. The Provider has the right to:

3.2.1. take third Parties in order to discharge the service under the current Terms. In this case the Provider is liable for their actions as for its own.

3.2.2. claim its payments from the Company due to Section 6 of the current Terms.

3.2.3. refuse to process an invoice (in order to notify the Customer and process the payment) should the Invoice breach Appendix 1 to the current Terms. Refuse to process invoices for forbidden goods and services as stated in the list of those according to the legislation of the country where the Company is operating.

3.3. The Provider has the right to discontinue (block) completely or partially the operations of the Company via the GMPay Service in the following cases:

3.3.1. Should the circumstances arise which may (in the Provider’s opinion) result in considerable losses for the Provider – as long as these circumstances are in effect;

3.3.2. Should the Company break any of its obligations under the current Terms – until the Company remedies the violation;

3.3.3. Should private persons - Customers complain for spam form the Company;

3.3.4. Should they reveal cases of issuing fraud invoices to Customers;

3.3.5. Should the Company run out of all the Provider’s invoices as part of the package due to the chosen tariff.

4. Rights and Liabilities of the Company

4.1. The Company undertakes the following liabilities:

4.1.1. To follow the current Terms including its Appendixes. To fulfill the requirements in instructive materials of the current Terms given by the Provider;

4.1.2. To create and issue Invoices for Customers using the GMPay Service and due to Appendix 1 of the current Terms;

4.1.3. Never to use the GMPay Service to create and issue invoices to Customers for services, work or purchased goods from the list of forbidden goods and services according to the legislation of the country where the Company is operating.

4.1.4. To pay for the services of the Provider in the time and manner stated in Section 6 of the current Terms.

4.2. Should the Company breach the current Terms and /or acting legislation (including but not limited to sending spam, breaking copyright or other rights for intellectual property of third parties), the Company undertakes:

4.2.1. To indemnify the Provider documented expenditures and losses incurred by payments, administrative fines and legal costs;

4.2.2. To pay for documented expenditures and losses of the Provider within 5 (five) working days since the payment request.

4.2.3. Upon the Provider’s request to supply the documents and\or information (in written form) within 3 (three) working days upon the corresponding request from the Provider in order to settle any dispute.

5. Settlements of accounts

5.1. The Company provides its services using the GMPay Service upon the advance payment for the Provider’s services according to the chosen tariff plan as in Appendix 2.

5.2. As the Company pays for the package of invoices, the Provider activates the working mode of the Company account at the GMPay. The working mode allows the Company to create and issue invoices to Customers for an indefinite term, the number is limited by the chosen tariff.

5.3. There are two ways to pay for the Provider’s service via a cashless transfer:

5.3.1. the Company may pay the invoice for the chosen package of invoices;

5.3.2. The Company representative may pay for the chosen package of invoices with a banking card.

5.4. The money received by the Bank under accepted payments are transferred (net of Bank commission) to the account defined by the Company due to the acquiring contract.

5.5. The money transmitted to the Provider are not refundable upon the Company request. The refund is possible only should the service fail to be provided due to technical or other reasons hampering the work of the GMPay Service.

6. Dispute Settlements

6.1. Under the current Terms a “Dispute” means a case arisen from using the GMPay service when the Customer believes that the payment of the Company invoice was fulfilled whereas the Company believes that the Customer didn’t pay at all or didn’t make a complete payment for the Company invoice issued for services, works or purchasing goods.

6.2. The Provider is involved in the dispute settlement upon the Customer or Company claims and applies to the client support of the Provider.

6.3. Within 30 (thirty) calendar days the Provider undertakes to investigate the circumstances of the dispute. It involves the representatives of the Company and/or the Customer, and the Bank should it be required. The Company and the Customer are informed about the findings of the investigation.

7. Liabilities of the Parties

7.1. The Parties are liable under the current Terms and the acting legislation.

7.2. The Company is liable for the contents of the invoices issued to the Customers.

7.3. The Company is fully liable for keeping the passwords to its personal account at the site of the Provider. The Provider declines all liability for the losses the Company may suffer should it lose or uncover its passwords.

7.4. The Provider declines all liability for non-receiving or untimely receiving the invoices by the Customers, as:

7.4.1. The Customers can receive notifications to their mobile gadgets only in the signal coverage area of certain communications service providers;

7.4.2. The Customer’s mobile gadget may be turned off when the notification is delivered.

7.5. Should the Company breach the terms to provide the documents for disputable transactions (due to article 4.2.3. of the current Terms), the Company is liable to pay the penalty to the Provider which equals the sum of the disputable transaction. The penalty is due within 3 (three) working days following the claim of the Provider.

7.6. Should the Provider be levied penalties in connection with GMPay service transactions and should the penalty be imposed due to a fault of the Company (fraudulent invoice issue, spamming, etc.) the Company is to indemnify the penalty sum to the Provider. The Provider in its turn, supplies the Company with the documents which confirm the penalty.

7.7. Penalty payments as stated in the current Terms do not make the guilty Party free from the obligations under the current Terms.

7.8. The Provider is not responsible for the disputes or conflicts between the Company and the Customers in the cases when such disputes and conflicts are beyond the current Terms.

7.9. Both Parties agree to consider strictly confidential any information received from each other under the current Terms and never use it for the purposes different from those it had been supplied for.

7.10. The Parties guarantee that the information or the data under the current Terms will be accessed only by those staff members who are immediately working under the current Terms. The Parties oblige to take measures to keep the information and data confidential.

7.11. Both Parties exempt from liability for complete or partial breach of duty under the current Terms should it be caused by a force-majeure case arisen after the current Terms are signed and should the Party be unable to foresee or prevent it with any measures of rationality. The following refers to: floods, fires, earthquakes or other natural disasters, wars, military actions, acts or actions of the state authorities or other circumstances beyond the reasonable control of the Parties.

8. Service Safety

8.1. The following parameters provide for safe working of the “GMPay” Service:

8.1.1. The service complies with data security standards PСI DSS: the accepted security standard for international payment systems.

8.1.2. Payments are protected with 3D Secure technology: additional ID level for the customer using banking cards.

8.1.3. Link encryption via protocol SSL: employing cryptographic protocol Secure Sockets Layer for the service work.

8.1.4. Data storage in the payment gateway system of the bank: GMPay does not store the card data but redirects the customers to the page of the bank.

9. Miscellaneous

9.1. The Parties confirm that the electronic document flow is equal in power to the paper document flow.

9.2. The Company provides its e-mail to register the account and the e-mail is used for exchanging mail and electronic copies of paper documents.

9.3. The Provider’s duties on dispatching, delivery and supplying the Company with documents, messages or notifications are considered duly discharged since the following was done:

  • being dispatched with the registered mail;
  • hand delivery;
  • sending to the stated e-mail;
  • placing in the personal account (profile address) of the Company.

9.4. Both Parties agree that document copies received via the fax or e-mail are equal to those original paper documents. The Parties consider the e-mail messages to be sufficient evidence.

9.5. The Company agrees with the legal authority of the data at the GMPay Service under the current Terms.

9.6. The Company agrees that the data of the GMPay Service are evidence in courts, including the data on invoices and payments.

9.7. All the documents which the Terms refer to as well as those compiled due to the Terms discharge constitute an inseparable part hereof.

9.8. The Company joining the Terms undertakes that all the Terms are clear and accepts them completely and without reserve.

9.9. The Provider is entitled to make amendments in the Terms unilaterally by publishing the document which contains information about the amendments at the GMPay website. The amendments go into effect after 10 (ten) working days since being published unless any other date is defined additionally when published.

9.10. The Company undertakes to accept the amendments to the Terms or supply the Provider with its refusal to accept the amendments to the Terms before they go into effect. Should the Company fail to supply its refusal, the amendments to the Terms are considered to be accepted by the Company. Should the Company disagree with the amendments to the Terms, the Company undertakes to close all financial obligations and stop using the Service.

9.11. Should the Company fail to perform (or perform improperly) any obligation under the current Terms the Provider is entitled to cut off\block the Company at the GMPay Service without any notice. The Provider is also entitled to demand to remedy the violations immediately and recoup for losses either in written form or orally.

9.12. Should the Company fail to remedy the violations within 3 (three) working days the Provider is entitled to refuse its services unilaterally.

Appendix no. 1
to the Terms of Use at the GMPay Service

Access procedure, settings and working at the GMPay Service

1. Signing up for the service

1.1. A company should make the following steps:

  • Sign up and try GMPay free of charge – via the account of the company;
  • Sign an acquiring contract – includes support of a GMPay;
  • Start using GMPay service – get 100 invoices from GMPay for free.

1.2. One may sign in within the main page at Just click on «Try for FREE» or «Create an account».

1.3. To sign in insert the following data in the form:

  • Company name: brand/trademark of the company;
  • E-mail: company email address;
  • Password: to log in to your personal account from now on;
  • Country: choose the country of location.

Confirm that you agree with Privacy Policy and click on «Create account». Then confirm your registration following the link from the company email.

1.4. After the company is registered it receives 10 invoices to send to mobile gadgets of the customers and test payments in the demo mode.

1.5. The company may issue an invoice as follows:

  • From its personal account via the web-interface of GMPay;
  • From the company programme using API.

1.6. The invoices are issued via SMS-messages.

1.7. Both registering the company account at GMPay and the company agreement with Privacy Policy verify that the company and GMPay service have concluded the offer agreement.

1.8. Major steps to sign up the company account to the service:

  • The company provides the GMPay support service with the account parameters;
  • The GMPay support service arranges the sign up of the company account to the payment gateway and carries out testing;

The company receives the sign up confirmation from GMPay, 100 free invoices and the service manual.

1.9. After the free package is over it is necessary to choose and pay for the invoice package due to the chosen tariff. Invoices are available to be sent to customers immediately after the payment and don’t expire.

2. Account settings

2.1. To log in authorize with the service:

using login and password (when entering the account first).

2.2. To change the language of the account:

  • Enter «Settings»;
  • Find «Interface language»;
  • Choose the language (English, Thai, Русский);
  • Confirm the language change - click on «Save».

2.3. To set notifications enter «Settings» and choose the type of notification or keep all the settings.

After this the information on chosen notifications will be sent to the registered company e-mail.

2.4. To add company information enter «Company personal account» and insert the following:

  • Legal name (obligatory);
  • Phone (obligatory);
  • Other details (address, e-mail, site etc.);
  • Click on «Save».

This information will be seen on the invoices sent to the customers (at «company information»).

2.5. То API integration а company should make the following steps:

  • Requesting papers on API integration and work from;
  • Signing up to the testing GMPay account and test the payments (API performance);
  • Getting tokens at to sign up the registered company account via API;
  • Testing GMPay service in the demo mode (not paying invoices) and in the work mode (paying invoices).

2.6. API integration can be conducted two ways:

  • On your own with GMPay support (is not charged extra);
  • Involving external developer – a company specializing in software development for integration taking into account the company software.

3. Working with invoices

3.1. Basic stages at GMPay - issuing, sending and paying invoices:

  • Issuing the invoice via the web-interface or API;
  • Sending the invoice to a customer as an SMS-message with the link redirecting to the payment page;
  • Paying the invoice via a smartphone in a protected payment page with a banking card;
  • Payment notification after the customer pays.
  • Receiving money to a company account after the customer pays for the goods or services.

3.2. To start work in GMPay service authorize:

  • «Log In» at the website header;
  • company «Log In» at the website footer;
  • at

using login and password (when entering the system first).

3.3. The process of creating and issuing the invoices using the web-interface is as following:

  • Creating an invoice defining the mobile number of the Customer and the payment purpose;
  • Filling in the invoice form where the invoice type is chosen and the goods or service details are provided;
  • If necessary stating discounts and tax rates;
  • Sending the invoice to the Customer.

3.4. Sending a file to the customer is possible via a file download link from the company cloud.

3.5. Customers may pay the invoice with the credit card as follows:

  • After receiving the invoice on the mobile gadget (an SMS message) the Customer clicks on the link given in the invoice and gets to the invoice page in the browser;
  • On the invoice page the Customer can get to know the sum and details of the Invoice, make a decision to pay or refuse the invoice;
  • Should the Customer decide to pay the invoice, he initiates the payment by clicking on the pay button on the invoice page;
  • After initiating the payment procedure the Customer is redirected to the payment form page of the Bank-partner in order to insert the details of the banking card;
  • On the payment form page the Customer is required to insert the number, expiry date, card holder’s name, code CVC2/ CVV2 and click on the pay button.

3.6. When making internet payments Customers should follow the Safety Rules for online transactions via a banking card on the Internet due to Appendix 4.

3.7. The goods and services of the Company are paid via a safe payment gateway of the Bank-partner using banking cards and strictly according to the requirements of international payment systems (VISA International; MasterCard; МИР).

3.8. Should the Bank-partner support the procedure of secure internet-payments «Verified By Visa» или «MasterCard Secure Code», a special password may be required to make a payment. Ways and possibilities for receiving passwords for internet payments are defined by the Bank- issuer of the card.

3.9. Should the Customer refuse to pay the Invoice, it is processed due to the acquiring contract of the Bank, the current Terms and the legal guidelines of international payment systems.

3.10. In order to settle any issues arisen after the refusal to pay or to get the refund the Customer has to apply to the Company which issued the Invoice.

3.11. To revoke the payment, the Company applies to the GMPay support service with the corresponding claim. The refund is made to the Customer after the payment revoke is activated.

4. Informing the Company about payments

4.1. A payment by the Customer means:

  • Successful authorization (confirmation) of a payment transaction on behalf of the payment gateway of the Bank-partner;
  • The Bank-partner accepting the Customer’s order to transact the money to the Company.

4.2. The payment notification is automatic. The Company receives a notification that the invoice status has been changed into “paid” (in the personal account or via the API).

4.3. The Company has anytime access to the topical information on issued and paid invoices in the Company personal account at the GMPay Service.

Appendix no. 3
to the Terms of Use at the GMPay Service

Privacy policy

This Privacy Policy for personal information (the Privacy Police hereinafter) is working for all the information which the Provider may receive about Customers while using the GMPay service (the Service hereinafter), the website is located at (the Site hereinafter) and extends for all the Users of the service (the Users hereinafter).


1.1. The Privacy Policy establishes the obligations of the Provider on non-disclosure and protection of private personal data provided by the User when working with the Service.

1.2. The User entirely accepts the Privacy Policy with all its terms of personal data processing as soon as he starts using the Service.

1.3. Should the User disagree with these terms he must refrain from using the Service.

1.4. The Service collects and stores only the information which is necessary to provide the User with the Service (discharge of obligations, agreements and contracts with the User).


2.1. Under the terms of usage the Service receives the following data from the Users:

2.1.1. The data which the User provides on his own when signing up and working in the personal account at the Service site.

2.1.2. The data which is used to create invoices via the Service (mobile phone numbers).

2.1.3. The data which is transmitted automatically while sending the invoices via the Service (allows identifying the Payer).

2.1.4. The data which is used while concluding Contract of acquiring by Companies-clients of the Service (passport data of the authorized person).

2.2. The data defined in articles 2.1.1 – 2.1.3 of the Policy is absolutely anonymous and is used only for the purpose of providing the Service.

2.3. The Provider does not check the personal data of the User for validity.

2.4. At any point the User may change (update, add) the data, defined in 2.1.1 of the Policy. To do that the User has to log in at the Site and make all necessary changes in the Personal Account.


3.1. The Service uses the collected information in order to:

3.1.1. sign the User in at the Personal Account at the Service site;

3.1.2. log the User in at the Service site (when working in the Service web-app );

3.1.3. provide free consultancy and information support when preparing documents to sign the internet-acquiring agreement;

3.1.4. form and send invoices via the Service (additional data allowing to identify the Payer);

3.1.5. provide the User with the access to personal resources of the Personal account at the Service site;

3.1.6. get the feedback from the User including notifications, enquiries about using the Service;

3.1.7. notify the User on payments of invoices;

3.1.8. provide the User with efficient customer and technical support in case there is a problem while using the Service.


4.1. The Service undertakes all necessary measures to secure the User’s personal data from illegal or accidental access, destruction, changes, blockage, copying, spread and other illegal actions of third parties.

4.2. The personal data of the User remains absolutely confidential when performing the Service. The Provider follows the Federal Law of Russia “On personal data”.

4.3. The User is solely responsible for storing his login/ password in secret from third parties and timely change of his login/ password and/or applying to the Service helpdesk in case the password was lost or disclosed.

4.4. The Service is entitled to transfer the information from the User to third parties in the following cases:

4.4.1. The User has expressed consent for such actions;

4.4.2. The transfer is necessary for the User to work with the Service or the service is to be performed to the User;

4.4.3. The Russian or another applicable law makes provisions for such a transfer for a legislative procedure;

4.4.4. The transfer is done by an authorized body of Russian state power only under terms and in the order stated in the Russian legislation.


5.1. The Site authorities are entitled to make changes in the current Privacy Policy without the User’s consent. The new edition of the Privacy Policy comes into force immediately after being posted at the Service site.

5.2. Any suggestions and questions about the current Policy should be sent to (Service helpdesk).

Appendix no. 4
to the Terms of Use at the GMPay Service

Security terms for online transactions using
a bank card on the Internet

1. Never tell anybody the payment details of your card (PIN, passwords to bank accounts, bank card expiry date, credit limits, transaction details, personal data). Be especially careful if the fraudsters call you, introduce themselves as bank officials and ask to name your PIN-code or CVV2/CVC2 code. The bank may ask you the last four digits or the complete card number but it isn’t authorized to ask you for your PIN-code or CVV2/CVC2 code. Besides, you shouldn’t send your bank details by email. Please remember when doing an internet payment nobody can ask you for your PIN-code.

2. Beware of fishing sites when paying for goods and services. A fishing site may differ from an ordinary one. It may have a complex address, no reviews, very cheap goods and services. It should alert the Customer and make him refuse from purchasing at such a site.

3. Set up and regularly update the anti-viral program. Also it is advisable to regularly update the software so that viruses fail to reside in the computer. When the system is updated the product engineer refines the system failures and eliminates the bottlenecks for viruses.

4. We recommend purchasing something only from your own computer to keep your personal data and bank card details private. Avoid using different computers should you doubt their safety. This applies especially to Internet-cafes and public access computers. Should you purchase something using a different computer please avoid saving your personal data and other information there. After you complete the transaction you should make sure that personal data and other information was not saved (download the web-page of the seller again in the browser).

5. When inserting card details please notice the URL bar of the browser. Private financial data should be transferred via a secure connection. In this case you will see the URL bar lit up with yellow, a lock icon appears and the address must start with https://. If you click on the lock icon the browser will show data about the nod.

6. When applicable please memorize the internet-shop addresses which you use most often and your internet bank address. Fraudsters may change only 1-2 symbols and you will get to a completely different site.

7. Open a card for internet payments. Transfer there the exact sum you need at the moment. Thus, paying for a purchase you don’t risk losing more money.

8. Should the payment require going through links, avoid clicking on them, copy them and paste to the URL bar of the browser. It happens that one link may be shown while another one may open after clicking and it may lead to a fraud site.

9. Connect to service of SMS-informing from the bank to be aware of your account balance.

10. Should you for some reason need to send a picture of your bank card via the internet (e-mail, skype, etc.) please remember that there are programs which search for and recognize such pictures. Thus, your data may be caught by fraudsters.
